1. Eligibility and acceptance

By using our website or services, you confirm that:

• You are capable of entering into a binding contract under applicable law; and
• If you are acting on behalf of a company or organisation, you have the authority to bind that entity to these Terms.

2. Our services

Sparkify Tech provides digital services, including but not limited to:

• Design and development of landing pages and funnels;
• Consulting on funnel structure and lead flows;
• Implementation support in connecting forms, analytics and tracking.

Specific deliverables, timelines and pricing for any project will be defined in our written communication with you (such as proposals, emails or order confirmations).

3. Your responsibilities

You are responsible for:

• Providing accurate and complete information about your business, projects and requirements;
• Ensuring you have the necessary rights, licences and approvals for all content you provide (text, images, logos, data, etc.);
• Ensuring that your use of our services and the resulting pages or funnels comply with all laws and regulations applicable to your business (including real estate, advertising and consumer laws);
• Reviewing and approving drafts, copy and designs in a timely manner.

4. Prohibited uses

You agree not to use our website or services to:

• Promote unlawful, fraudulent, misleading or deceptive projects or claims;
• Infringe the intellectual property or other rights of any person;
• Distribute malware, malicious code or any harmful content;
• Violate any applicable law, regulation or industry code of conduct.

We reserve the right to decline or suspend work if we reasonably believe that a project or requested content violates these obligations or may expose us to legal or reputational risk.

5. Fees and payment

Fees for our services are communicated to you in writing and may depend on scope, complexity and timelines. Unless otherwise agreed:

• Work may begin only after an advance or retainer is received;
• Remaining payments are due as per the agreed milestones or completion of work;
• All fees are exclusive of applicable taxes, which will be added as required by law.

6. Intellectual property

6.1. Your content

You retain ownership of the content you provide to us. You grant Sparkify Tech a limited licence to use, reproduce and modify such content solely as necessary to deliver the services you have requested.

6.2. Our work and tools

Unless otherwise agreed in writing:

• You receive a licence to use the specific landing pages, designs and code we deliver to you for your business;
• Underlying frameworks, components, methods and internal tools used to create those deliverables remain our intellectual property;
• We may reuse non-identifying structures, patterns or components in other projects.

7. No guarantee of specific results

We design funnels and landing pages to improve clarity, speed and lead quality, but we do not guarantee specific outcomes such as number of leads, sales, revenue or campaign performance. Results depend on many factors, including your project, pricing, market, ad targeting and sales process.

8. Limitation of liability

To the fullest extent permitted by law, Sparkify Tech and its directors, employees and partners will not be liable for any indirect, incidental, special or consequential damages, or loss of profits, revenue, data or business opportunities, arising out of or in connection with your use of our website or services.

To the extent we are found liable despite the above, our total aggregate liability for any claims relating to our services will be limited to the amount you paid us for the specific project giving rise to the claim.

9. Indemnity

You agree to indemnify and hold harmless Sparkify Tech from and against any claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising out of or related to:

• Your content or data provided to us;
• Your use of our services in violation of these Terms; or
• Your breach of any applicable law or rights of a third party.

10. Changes to these Terms

We may update these Terms from time to time. When we do, we will post the updated version on this page with a revised effective date. Continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.

11. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Subject to applicable law, you agree that the courts at Nagpur, Maharashtra shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms, in addition to any other forums required by consumer protection or other applicable laws.
