The final price for any Service will be confirmed in the service agreement or contract provided to you at the time of engagement. Factors such as project complexity, additional requirements, or market conditions may affect the final price.

3.2 Payment Terms: All payments for our Services are due as outlined in the applicable service agreement. Payments are processed securely through our website at sparkify.tech, where you will receive a secure payment link via email to complete your transaction. We accept only digital payments, including credit/debit cards, net banking, UPI, digital wallets, and cheques (processed digitally). Cash payments are not accepted under any circumstances. Upon successful payment, we will provide a detailed invoice via email. Invoices must be paid in full within the specified timeframe. Late payments may incur additional fees or result in suspension of Services at our discretion.

3.3 Non-Refundable: All payments are non-refunded unless explicitly stated otherwise in the service agreement. Refunds, if applicable, will be processed in accordance with our Refund Policy.

4.1 Ownership: All content on our website, including text, graphics, logos, images, videos, software, and other materials, is the property of Sparkify Technologies or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any content without our prior written consent.

4.2 Client Deliverables: Upon full payment for a Service, we grant you a non-exclusive, non-transferable license to use the deliverables (e.g., website, design files) for the intended purpose. Ownership of such deliverables will be transferred to you only if specified in the service agreement. We retain the right to showcase the deliverables in our portfolio unless otherwise agreed.

5.1 User Rights: You have the right to access and use our Services as intended, subject to these Terms. You may contact us for support or inquiries regarding our Services at any time.

5.2 User Responsibilities: You are responsible for providing accurate and complete information when engaging our Services, including during form submissions (e.g., contact or service inquiry forms). You must not misuse our Services, attempt to gain unauthorized access to our systems, or engage in any activity that disrupts the functionality of our website or Services.

5.3 Accountability: If you provide us with content (e.g., images, text) for use in a Service, you warrant that you have the legal right to use and share such content, and you grant us a license to use it for the purpose of providing the Service.

We respect the confidentiality of any sensitive information you share with us during the course of our engagement (e.g., business plans, personal data). 7.2 Service Performance: While we strive to deliver high-quality Services, we do not guarantee that our Services will be error-free, uninterrupted, or meet your specific expectations. Our total liability for any claim shall not exceed the amount paid by you for the specific Service giving rise to the claim.

7.3 Third-Party Services: We may use third-party tools or services in delivering our Services. We are not liable for any issues, damages, or losses caused by such third-party services.

8.1 By Us: We reserve the right to terminate or suspend your access to our website or Services at our sole discretion, with or without notice, for reasons including but not limited to violation of these Terms, non-payment, or fraudulent activity.

8.2 By You: You may terminate your engagement with us by providing written notice as outlined in the service agreement. Termination does not relieve you of any payment obligations for Services already rendered.

8.3 Effect of Termination: Upon termination, your right to use our Services will cease immediately. Any deliverables not fully paid for will remain our property.

In the event of a dispute arising out of or relating to these Terms or our Services, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue legal action in accordance with the governing law specified below.

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Maharashtra, India.

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on this page, with the "Last Updated" date updated accordingly. We will notify you of significant changes via email or a prominent notice on our website. Your continued use of our website or Services after such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
